1. BASIS OF AGREEMENT
The following general terms and conditions of sale and delivery apply to all deliveries from Teqcoat A/S unless otherwise expressly agreed in writing.

2. QUOTATIONS AND ORDER CONFIRMATION
Quotations issued by Teqcoat are valid for eight (8) days from the date of issue and will automatically expire without further notice if not accepted by the customer within this period. A binding agreement is established upon Teqcoat’s dispatch of an order confirmation, unless the buyer raises objections before the order deadline.

The customer’s order is only accepted once Teqcoat has issued its acceptance of the quotation. Teqcoat’s offer is accepted only when Teqcoat has received the customer’s corresponding acceptance.

Orders may be tacitly accepted by Teqcoat through delivery of goods in accordance with the conditions and deadlines specified by the customer.

Orders below DKK 2,500 net, excluding VAT and duties, are subject to a handling fee of DKK 350.

3. PRICES
All prices are stated exclusive of VAT and duties. Teqcoat reserves the right to adjust agreed prices for undelivered products in the event of currency fluctuations, price increases from subcontractors, rising raw material costs, government intervention, or similar circumstances.

4. DELIVERY
Unless otherwise agreed in writing, delivery shall be made ex works from Teqcoat’s factory. If Teqcoat undertakes delivery on behalf of the buyer, delivery shall be made carriage unpaid, and freight costs will be charged to the buyer. Goods are unloaded according to the buyer’s instructions.

Orders exceeding DKK 6,000 excl. VAT are delivered free of charge within Denmark, limited to bridge-connected islands.

Urgent orders are subject to a surcharge of DKK 1,500 (excl. VAT) and a delivery surcharge of DKK 750 (excl. VAT).

For deliveries to construction sites, goods are unloaded on solid surfaces (asphalt or concrete). The buyer is responsible for ensuring that unloading conditions and access routes are lawful and safe. Goods are stored at the buyer’s risk and expense after delivery.

If Teqcoat fails to deliver within the agreed time, the customer may submit a written demand for delivery and set a final reasonable deadline. No further claims for delay may be asserted against Teqcoat.

Goods may be collected from Teqcoat’s warehouse. If goods are not collected within 48 hours, they will be treated as “returned goods” and subject to a handling fee.

Products delivered on one-way pallets are charged at a fixed price per size.

5. SAMPLES
Samples provided to the customer only indicate color, size, and general quality. Teqcoat is not liable for any deviations.

6. PAYMENT

Payment is due 20 days from the invoice date. Late payments accrue interest at 1.5% per commenced month.

In the event of payment default, Teqcoat is entitled to suspend fulfillment of all other orders. If outstanding amounts are not paid within a short additional deadline set by Teqcoat, Teqcoat may terminate all agreements with the customer.

7. DEFECTS AND CLAIMS
The customer must inspect the goods immediately upon receipt and before use or processing to ensure they are free from defects. Claims regarding defects that are or should have been detected must be submitted immediately and no later than eight (8) days after delivery, and in any case before use or processing.

All claims relating to defects, delays, product liability, or damages must be submitted in writing to Teqcoat without undue delay.

8. RETURNS
Returns may only be made with prior written consent from Teqcoat and must occur within one month of delivery. Acceptance of returns is conditional upon goods and packaging being in the same condition as upon delivery. A deduction of 10% of the invoice value applies to credited returns. One-way pallets are considered goods and are not returnable.

Custom-made goods are non-returnable. Only separately invoiced returnable packaging is accepted, provided it is empty and undamaged. All costs related to returns are borne by the customer.

9. LIABILITY

Information and measurements stated in product information and instructions are indicative and based on ideal conditions. Preliminary testing under actual conditions is recommended. Teqcoat assumes no liability if products are not used as prescribed or under extreme conditions.

Teqcoat is not liable for indirect losses, including loss of operations, time, profit, or similar damages.

Teqcoat’s liability is limited to replacement and/or redelivery of the product. If product liability is imposed toward third parties, the buyer shall indemnify Teqcoat to the same extent as this limitation.

Technical advice is provided solely as guidance. Tests are conducted under ideal laboratory conditions; therefore, on-site testing is always required. Reference areas must not be removed.

As a supplier, Teqcoat assumes no responsibility as a designer, consultant, engineer, contractor, or similar.

10. FORCE MAJEURE

In cases of force majeure, including strikes, lockouts, fire, flooding, major machinery failure, war, import/export restrictions, government actions, transport delays, supplier failure, shortages of raw materials or energy, theft, vandalism, or other events beyond Teqcoat’s control, Teqcoat may postpone or cancel performance.

No claims for compensation may be made in such cases.

11. JURISDICTION AND GOVERNING LAW

Any dispute arising from this agreement shall be subject to the jurisdiction of the Court of Herning.

Danish law applies, excluding Danish conflict-of-law rules.
